Senior Legal CounselThe opportunity
We currently have a full time opportunity for a Senior Legal Counsel to join QIC's Risk, Legal & Tax team in Brisbane. In this role you will be responsible for providing expertise across OTC, ETD and cleared OTC derivatives, funds management and transactions with counterparties located in Australia and internationally.
With your broad legal knowledge and experience of financial service, preferably from a top tier environment, you will work with the Associate General Counsel as a trusted advisor to the business. You will deliver strategic advice managing legal risks within QIC's risk appetite, providing and procuring legal services for QIC Investment Teams and Business Units.
Specifically your focus will be on:
- creating, negotiating and overseeing legal documentation on behalf of QIC companies, trusts and clients to facilitate access to global markets;
- supporting a trading desk with traders and portfolio managers in Brisbane, Sydney and London;
- negotiating investment management agreements;
- providing and procuring external legal advice to all parts of the QIC business including complex trading and financing structures involving counterparties, entities and stakeholders both in Australia and internationally;
- identifying relevant legislative and regulatory changes and providing advice to the relevant teams on the implementation of such changes and their opportunities or risks;
- advising on corporate arrangements including IT agreements and HR agreements;
- developing and enhancing policies, procedures and systems to ensure they conform with legal and regulatory requirements;
- developing and implementing risk awareness initiatives with investment teams;
- presenting education and training sessions on legal matters to QIC colleagues;
- providing thought leadership on guidelines for best practices for contracting with external parties; and
- mentoring and teaching a junior lawyer and supervising paralegals.
The ideal candidate
As a strong candidate for this role, you will have experience across derivatives, global markets, financial market infrastructure and regulatory reform, funds and fund formation gained by working in financial services and/or at a top tier law firm.
You must be able to demonstrate:
- a working knowledge of derivatives documentation and markets including financial market infrastructure reform in Australia, the US (Dodd Frank) and the EU (EMIR and MiFID II);
- experience negotiating ISDA Master Agreements (including familiarity with ISDA definitions), CSA's, AFMA's Investment Manager Supplement, GMRA's (Repo) and Futures and Options Client Agreements;
- experience negotiating Investment Management Agreements;
- a working knowledge of investment funds and investment fund formation;
- an ability to mentor and teach junior lawyers;
- between 6-12 years' of post-qualification experience in areas such as derivatives, financial services, funds management, trusts and corporate law;
- exceptional commercial problem solving and evaluation skills to determine best commercial courses of action;
- proven ability to negotiate with internal and external stakeholders. This requires evidence of an ability to hold a deep understanding a client's and other stakeholders' positions;
- adaptability including the ability to rapidly grasp and apply new or unfamiliar concepts;
- a sound understanding of Australian legal and regulatory environments;
- experience in liaising with external stakeholders such as auditors and regulators and ability to influence outcomes with them;
- an ability to work collaboratively with others and share knowledge across divisions; and
- admission to practice law in Queensland or an ability to be admitted to practice law in Queensland.
While not essential, the following will be highly regarded:
- a sound understanding of international legal and regulatory environments;
- a working knowledge of, or desire to learn more about interest rate, credit, inflation, equity, commodity and currency derivatives;
- a working knowledge of, or desire to learn more about central clearing of derivatives (FCM and SCM) and CCP (clearing house) constructs;
- an understanding of or desire to learn more about the commercial drivers for buy side derivatives participants and awareness of sell side regulatory reform and the flow on impact to the buy side; and
- experience working in-house at a financial services institution.
